Terms of Use
1. Acceptance of Terms
Welcome to Wizip, a smart home automation community and platform operated by Fennelsmart, Inc. (“Fennel”, “we”, “us” or “our”). By accessing or using the Wizip website (the “Site”) and services, you (“you” or “User”) agree to be bound by these Terms of Use (“Terms”). If you do not agree with these Terms, you must not use the Site. These Terms apply to all visitors, users, and others who access the Service. Please read them carefully before using Wizip.
2. Eligibility and Accounts
Eligibility: You must be at least 13 years old (or the minimum legal age in your country to form a binding contract) to use Wizip. By using our Site, you represent that you meet this age requirement. If you are under 18, you affirm that you have the consent of a parent or legal guardian to use Wizip, and that your parent or guardian has read and agrees to these Terms on your behalf. The Service is not intended for children under 13, and we do not knowingly allow such individuals to use Wizip.
Account Registration: Currently, Wizip allows users to sign up and log in using third-party authentication (Google Sign-In via the Thenty plugin). By using Google single sign-on to access Wizip, you authorize us to collect certain information from your Google account (such as your name and email address) as permitted by your Google privacy settings. You are responsible for ensuring that the information we receive (e.g., your name) is accurate and up-to-date.
Account Security: You are responsible for maintaining the confidentiality of your account credentials (such as your Google account login). You are responsible for all activities that occur under your Wizip account. If you suspect any unauthorized use of your account, you must promptly notify us. We are not liable for any loss or damage arising from your failure to protect your login credentials.
3. User Content and Contributions
Wizip allows users to create, post, and share content related to smart home automations, including textual descriptions, images, diagrams, comments, and other materials (“User Content”). When you post User Content on Wizip, you agree to the following:
Ownership: You retain all ownership rights in the content that you create and post. We do not claim ownership over your User Content. However, by submitting or posting content on Wizip, you grant us a license to use it as described below.
License to Wizip: You hereby grant Fennelsmart, Inc. and its affiliates a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable and transferable license to use, copy, modify, distribute, publicly display, publicly perform, and create derivative works of any User Content that you post on or through Wizip. This license is provided so that we can operate, promote, and improve our Services. For example, we may display your posted automations to other users, feature your content in promotions or social media, or use data from your content to improve our platform’s functionality. This license also allows us to use User Content to develop and enhance our services – including, but not limited to, training or improving algorithms and artificial intelligence models – without further notice or compensation to you.
Public Display: Content you post (such as automation descriptions or images) may be viewable by all visitors to the Site. Do not include personal information or any content you wish to keep private. By posting, you understand that your username and content will be public.
No Compensation: You agree that you are publishing your automations and other content on Wizip voluntarily and that you are not entitled to any compensation from us for the use of your content by Wizip or Fennelsmart, Inc. under the license above.
Representations of Content: You represent and warrant that you have all necessary rights to post your User Content, and that doing so does not violate any intellectual property, privacy, or other rights of any third party. You further promise that your content complies with these Terms and all applicable laws.
Monitoring and Removal: We do not actively review all User Content before it is posted, and we are not responsible for what users post on Wizip. However, we reserve the right (but not the obligation) to review, monitor, remove, or disable access to any User Content at our discretion, at any time, and for any reason (including if we determine that the content is objectionable or violates these Terms) without notice. You remain solely responsible for the content you post. Wizip and Fennelsmart, Inc. will not be liable for any decisions to remove or not remove User Content.
4. Acceptable Use and Prohibited Conduct
We strive to foster a helpful and safe community of smart home enthusiasts. To protect all users and the integrity of the platform, you agree that you will NOT:
Violate Laws or Rights: Use Wizip for any illegal purpose or in violation of any local, state, national, or international laws. You also agree not to violate or infringe the rights of others, including intellectual property, privacy, and publicity rights.
Post Prohibited Content: Post or share any User Content that is illegal, obscene, pornographic, indecent, hateful, defamatory, libelous, harassing, threatening, or otherwise objectionable. This includes content that promotes violence, discrimination, bigotry, or any activity that could be considered dangerous or criminal.
Infringe Intellectual Property: Upload or share content (including text, photos, graphics, code, etc.) that you do not have the right to use. Only post content that you created or that you have permission to use. For example, do not upload copyrighted material from others (such as manufacturer’s product photos or documentation) unless it’s legally permissible.
Impersonate or Misrepresent: Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity. You must not mislead others as to the origin of any content you post.
Spam or Malicious Activity: Transmit any unsolicited or unauthorized advertising or promotional material (spam), chain letters, or any form of solicitation. You also agree not to upload or distribute viruses, malware, or any other code that is harmful or invasive or that may damage the operation of the Service or any computers.
Interfere with the Service: Attempt to interfere with or disrupt the proper functioning of Wizip. This includes not engaging in any activity that could disable, overburden, or impair the Site (e.g., a denial-of-service attack) or using any robot, scraper, crawler, or other automated means to access the Site for any purpose without our express written permission.
Circumvent Security: Attempt to circumvent any content-filtering techniques or security measures we employ, or access any service or area of the Site that you are not authorized to access.
Violation of any of the above Prohibited Conduct may result in immediate termination or suspension of your account and/or access to Wizip, at our discretion, and could also expose you to legal consequences. We reserve the right to report any violations of law to the appropriate authorities.
5. Intellectual Property Rights
Our Intellectual Property: The Wizip platform and all content and materials provided by us on the Site (excluding User Content), including the software, design, text, graphics, images, photographs, illustrations, logos, site layout, and all intellectual property rights therein, are the exclusive property of Fennelsmart, Inc. or its licensors (“Wizip Content”). Wizip™ and associated logos are trademarks/service marks of Fennelsmart, Inc. or its affiliates. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Wizip Content for your personal, non-commercial use. Except as expressly permitted by us in writing, you may not copy, modify, reproduce, distribute, create derivative works from, publicly display, or commercially exploit any portion of Wizip Content.
Third-Party IP: Wizip contains references to third-party products, services, and trademarks – for example, names and images of smart home devices and platforms (e.g., Amazon Alexa, SmartThings, Google Home, etc.). All such third-party trademarks and content belong to their respective owners. Nothing in these Terms grants you any rights to use any third-party content or trademarks that appear on the Site. Wizip is an independent platform and is not endorsed by or affiliated with any device manufacturers or service providers unless explicitly stated. For instance, we may display product information (like device compatibility or pricing) sourced from manufacturers or retailers, but this is for informational purposes and does not imply our endorsement or partnership.
6. Third-Party Links and Affiliate Programs
External Links: Our Site includes links to third-party websites, resources, or services, including links to purchase smart home devices via external retailers (for example, “Buy Now” buttons that redirect to Amazon.com or other e-commerce sites). These links are provided for your convenience, and we do not control or endorse the content, products, or services provided by those third parties. If you access a third-party website via a link on Wizip, you do so at your own risk. Wizip and Fennelsmart, Inc. are not responsible for the content or practices of any third-party websites or services, and your use of those sites will be governed by the third party’s own terms and policies.
Affiliate Disclosure: Wizip participates in affiliate marketing programs. In particular, Fennelsmart, Inc. is a participant in the Amazon Associates Program (and similar affiliate programs), which means we may earn a commission when you click on or make purchases via affiliate links on our Site. For example, many device listings on Wizip contain affiliate “Buy Now” links to Amazon; as an Amazon Associate, we earn from qualifying purchases. This comes at no additional cost to you. We may also partner with other retailers (such as Coupang for the Korean locale) under similar affiliate arrangements. We are committed to transparency about our commercial affiliations in compliance with FTC guidelines.
No Warranty on Third-Party Info: Any product information (such as device compatibility details, pricing, availability, and descriptions) displayed on Wizip is provided for convenience and may come from third-party sources (manufacturers, retailers, or users). We do not guarantee that such information is accurate, current, or error-free. In fact, device compatibility, pricing, and other details on Wizip may change over time without notice. Wizip makes no guarantees regarding the accuracy, completeness, or timeliness of this information, and we disclaim any liability for your reliance on the information provided. Users should verify crucial details directly with the device manufacturer or authorized sellers before making purchase decisions.
Transactions with Third Parties: If you decide to purchase a product or service from a third party linked on Wizip (such as buying a device through an Amazon link or any future integrated store), your transaction is solely between you and that third party. We do not have control over, and are not responsible for, any aspect of transactions with third-party sellers, including the quality, safety, accuracy, or legality of the products/services, the truth or accuracy of descriptions, or the ability of the seller to fulfill the order. Any disputes or issues arising from a purchase made via a third-party link should be addressed with the third-party seller or provider, not with Fennelsmart, Inc.
7. Disclaimer of Warranties
Wizip and all content and services provided through it are offered on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Fennelsmart, Inc. disclaims all warranties, express or implied, regarding the Site and the services. This includes, but is not limited to:
Information Accuracy: We do not warrant that the information on Wizip (including device specifications, compatibility, prices, user-posted content, or any other materials) is accurate, complete, reliable, current, or error-free. The content on our Site is provided for general informational and community discussion purposes and should not be relied upon as professional or expert advice for important decisions. You should independently verify any information before relying on it.
Service Availability: We do not guarantee that Wizip will be available at any particular time or location, uninterrupted, or secure. We may experience occasional downtime or errors, and we make no warranty that any defects or errors will be corrected.
Quality and Fitness: We make no guarantees of any specific results from use of the Site. Fennelsmart, Inc. disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranty arising out of course of dealing or usage of trade. For example, we do not warrant that any automation idea or device recommendation on Wizip will meet your requirements, work as described, or be safe or suitable for your particular situation. Use of any ideas or recommendations from our Site is at your own discretion and risk.
No Warranty on User Content: Any material or content downloaded or otherwise obtained through the use of Wizip is done at your own discretion and risk. User Content (posts by other users) represents the views of those users, not of Fennelsmart, Inc., and we do not endorse or guarantee any advice, opinion, or statement made by users.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any warranties required by law are limited to the shortest period permitted by law.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will Fennelsmart, Inc. (including its officers, directors, employees, agents, affiliates, and partners) be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your access to or use of (or your inability to access or use) Wizip or any content on the Site. This includes, without limitation, any damages for lost profits, lost data, loss of goodwill, device damage, or service interruption, even if we have been advised of the possibility of such damages.
To the extent permitted by law, the total liability of Fennelsmart, Inc. for any claim arising out of or relating to these Terms or the use of Wizip shall not exceed USD $100 or the amount you have paid us in the past 12 months for any paid services (if applicable), whichever is greater. (Currently, Wizip is offered to users free of charge, so this monetary cap is intended to reflect a reasonable allocation of risk.)
Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law – for example, liability for personal injury or property damage caused by gross negligence or willful misconduct, or for our fraud or fraudulent misrepresentation. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, our liability will be limited to the extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Fennelsmart, Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to: (a) your use or misuse of Wizip, (b) your violation of any of these Terms, (c) your violation of any laws or regulations or any right of a third party, or (d) any content that you post or share on Wizip, including any claim that your content infringes or misappropriates any third-party intellectual property or privacy rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Fennelsmart, Inc.
10. Termination
By You: You may stop using Wizip at any time. If you wish to delete your account, you may do so (if an account deletion feature is available in your profile settings) or you can contact us to request deletion. Terminating your account will end your ability to log in and use any member features of the Site.
By Us: We may suspend or terminate your access to Wizip (or certain features of the Service) at any time, for any reason, and without advance notice. For example, we may suspend or terminate your account if we believe you have violated these Terms, if we discontinue the Service, or due to technical or security issues. We will not be liable to you or any third party for the termination of your access to the Site.
Effect of Termination: Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. The provisions of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimers of warranty, limitation of liability, indemnification, and governing law) shall survive. Please note that even after you remove or delete User Content from your account or profile, copies of your content may persist in backup storage or may have been viewed or downloaded by other users prior to removal. We are not responsible for retaining or providing you with copies of your content after termination.
11. Copyright Infringement (DMCA) Policy
Wizip respects the intellectual property rights of others and expects users to do the same. If you believe that any content on our Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA). The notice should include the following information in writing:
A description of the copyrighted work that you claim has been infringed.
A description of where on the Site the material you claim is infringing is located (please provide a URL or item name for our reference).
Your address, telephone number, and email address, so that we can contact you.
A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
You may send this notice to our designated Copyright Agent at: [insert contact email/address]. Upon receipt of a valid DMCA notice, we will investigate and remove the infringing content (if we confirm the infringement), consistent with applicable law. We may also terminate the accounts of repeat infringers in appropriate circumstances.
(Please note: If you knowingly misrepresent that content on the Site is infringing, you may be liable for damages, including costs and attorneys’ fees, under the DMCA.)
12. Modifications to the Service and Terms
Changes to Service: We are continually evolving and improving Wizip. We reserve the right to add, remove, alter, or discontinue any aspect of the Site or the services at any time (including changing or discontinuing features, integrations, or content offerings) without notice. We are not liable if any part of the Service is changed or becomes unavailable.
Changes to Terms: We may revise or update these Terms of Use from time to time. If we make material changes, we will provide reasonable notice, such as posting a prominent announcement on our Site or notifying registered users via email. By continuing to use Wizip after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Service. The “Last Updated” date at the bottom of this document indicates when the Terms were last changed.
13. Governing Law and Dispute Resolution
Governing Law: These Terms and any dispute arising from your use of Wizip shall be governed by and construed in accordance with the laws of the United States and the laws of the State of Delaware, without regard to its conflict of law principles. If you use the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Nothing herein will operate to diminish any rights you may be entitled to under mandatory laws of your local jurisdiction.
Agreement to Arbitrate: You and Fennelsmart, Inc. agree that any disputes, claims, or controversies arising out of or relating to these Terms or your use of Wizip shall be resolved through final and binding arbitration, rather than in court. The Federal Arbitration Act and federal arbitration law apply to this agreement. This means you are WAIVING your right to a trial by jury and your right to participate in a class action or representative proceeding.
Arbitration Procedures: The arbitration will be administered by a neutral arbitration provider (such as the American Arbitration Association (AAA)) in accordance with its applicable rules. The arbitration may be conducted in English and, at your option, may be carried out remotely (e.g., via document submissions, telephone, or video conference) to minimize inconvenience and cost. If an in-person hearing is needed, it will take place in a location in the United States that is reasonably convenient for both parties; if the parties cannot agree on a location, then in Delaware. Each party will be responsible for their own attorneys’ fees and costs, unless the arbitrator determines that the claim is frivolous or brought for an improper purpose (in which case the arbitrator may award attorneys’ fees to the prevailing party, as permitted by law).
Exceptions: Notwithstanding the above, either you or Fennelsmart, Inc. may bring suit in a court of proper jurisdiction to address intellectual property infringement claims (for example, unauthorized use of trademarks, trade dress, copyrights, or patents). Additionally, either party may seek relief in small claims court for disputes or claims within the scope of that court’s jurisdiction, as long as the matter remains in such court and is on an individual (non-class) basis.
Opt-Out Right: You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by contacting us in writing at [insert contact email] and stating that you wish to opt out of the arbitration agreement. If you do so, neither you nor Fennelsmart, Inc. can require the other to participate in arbitration for the dispute.
Jurisdiction for Litigation: If the arbitration agreement is found unenforceable or if you opt out of arbitration, you agree that any judicial proceeding (other than small claims actions or intellectual property claims as noted above) will be brought in the federal or state courts of Delaware. Both you and Fennelsmart, Inc. consent to venue and personal jurisdiction there, and you waive any objection to inconvenient forum.
Time Limit: To the extent permitted by law, any claim or cause of action arising out of or related to your use of Wizip or these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred. (This does not apply to intellectual property claims or other claims where a longer period is mandated by law.)
14. Miscellaneous
Entire Agreement: These Terms (along with any other legal notices or policies on the Site, including our Privacy Policy) constitute the entire agreement between you and Fennelsmart, Inc. regarding your use of Wizip, superseding any prior agreements between you and us relating to your use of the Service.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Fennelsmart, Inc.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to another party at any time without notice. (For example, this may occur if we undergo a merger, acquisition, or sale of assets, or by operation of law.)
Relationship: These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. You and Fennelsmart, Inc. are independent contractors.
Headings: Section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
